Terms and Conditions of the Payment Processing Service

Version in force: 8 October 2026. This English text is a translation for convenience; the Spanish version governs.

1. Background

Rampa Tech S.R.L., a financial technology company with Tax ID (NIT) No. 670537027 and holder of the Certificate of Adaptation (Certificado de Adecuación) issued by the Autoridad de Supervisión del Sistema Financiero (ASFI) (hereinafter, the COMPANY), provides the service governed by these terms and conditions.

2. Purpose of the service

The COMPANY provides a platform through which the registered natural or legal person (hereinafter, the CLIENT) requests domestic and international payments and transfers in multiple currencies.

3. Service activation and conditions of use

The CLIENT shall request activation by registering on the platform and providing the information and documentation the COMPANY requires for identification and due diligence. Activation is subject to the COMPANY's approval, following commercial, operational, security and compliance validation. Once activation is approved, the COMPANY shall deliver personal and non-transferable access credentials to the CLIENT through the registered email address or another secure channel.

4. Client representations

The CLIENT represents and warrants that: (i) the information and documentation provided during onboarding, updates and use of the service, including that relating to its identity, economic activity, beneficial owner, origin and destination of funds and purpose of transactions, is complete, authentic, current and verifiable, and undertakes to keep it up to date; (ii) it has the authority required to act on its own behalf or, where applicable, on behalf of the identified natural or legal person; and (iii) it will use the service exclusively for lawful purposes, and the funds, resources and transactions instructed through the COMPANY have a lawful origin and purpose, with no connection to money laundering, terrorist financing, sanctions evasion or any other unlawful activity.

The COMPANY may request additional documentation where its due diligence, fraud prevention or regulatory compliance so requires. The CLIENT shall be liable for damages arising directly from false, incomplete, outdated or incorrect information it has provided, provided such damages are not attributable to an act, omission, error or breach by the COMPANY. Any falsity or inaccuracy in these representations shall be grounds for suspension or termination of the service, without prejudice to reporting to the competent authorities.

5. Mandate and handling of funds

The CLIENT grants the COMPANY a mandate to process, on its account and order, the payment orders it instructs on the platform. The COMPANY does not take deposits and does not pay interest on the CLIENT's funds. Funds received from the CLIENT are transitory and are used exclusively to execute its orders. Orders are settled in accordance with the cut-off times published by the COMPANY through its official channels; orders received after the cut-off time are processed in the next settlement cycle.

6. Cancellation and irrevocability of orders

Every order instructed on the platform is deemed authorised by the CLIENT and becomes irrevocable once the COMPANY instructs its processing to the bank, correspondent or other intervening third party. Before that moment, the CLIENT may cancel it on the platform. Once irrevocable, even in the event of CLIENT error, the COMPANY will only make best-effort attempts to recover the funds, without guaranteeing the outcome.

7. Exchange rate quotation

Where a transaction requires a foreign currency, the COMPANY shall show the CLIENT the applicable rate at the time the order is generated. The rate is fixed upon the CLIENT's confirmation of the order and remains valid for the validity period stated in the order itself. If that period expires without the order having been completed, the COMPANY may apply a new rate, communicating the change to the CLIENT for acceptance before executing the transaction.

8. Transactions on behalf of third parties

The CLIENT may only instruct transactions on behalf of third parties (end users) where: (i) it assumes and performs due diligence (KYC/KYB) and anti-money-laundering and counter-terrorist-financing (AML/CFT) measures in respect of those end users, in accordance with applicable regulations; and (ii) it warrants that it is legally authorised to carry out that activity in its home jurisdiction. The CLIENT shall provide the COMPANY, upon its sole request, with the supporting information and documentation on its end users and the transactions carried out on their behalf. Outside these cases, use of the service on behalf of third parties is prohibited, and any breach shall be grounds for suspension or termination of the service.

9. Fees and taxes

The COMPANY shall charge the CLIENT the fees applicable to the service in accordance with the fee schedule published through the COMPANY's official channels or, where applicable, the commercial annex signed with the CLIENT, disclosed clearly and in advance on each order. Taxes applicable to the CLIENT's transactions shall be for the CLIENT's account, except those which by law fall on the COMPANY. Any change to the fees shall be subject to the Amendments clause.

10. Third-party costs

Financial institutions, correspondent banks, payment service providers and other intervening third parties may apply charges, fees, withholdings or costs of their own services, which shall be disclosed to the CLIENT where known or determinable in advance. The COMPANY shall not be liable for charges set by third parties outside its control, without prejudice to its obligation to disclose them.

11. Term and suspension of the service

The service shall have an indefinite term.

11.1. Grounds for suspension

The COMPANY may disable or suspend the service, temporarily or permanently, in the following cases:

11.1.1. Breach of the terms and conditions by the CLIENT.

11.1.2. Improper use of the service, including the detection of suspicious, unusual, fraudulent or unauthorised transactions in accordance with the COMPANY's internal procedures, in which case the suspension may be precautionary until the corresponding review is complete.

11.1.3. Requirements or restrictions imposed by regulatory, judicial or administrative authorities.

11.1.4. Falsity or inaccuracy of the CLIENT's representations, or breach of the conditions for operating on behalf of third parties.

11.1.5. Updates or technical maintenance of the platform, in which case the suspension shall be temporary and the CLIENT shall be notified with as much advance notice as possible.

The COMPANY shall inform the CLIENT of the measure adopted and, where applicable, how to remedy it.

12. Liability of the client and the company

12.1. Liability of the client

12.1.1. The CLIENT is solely responsible for the accuracy of the information in its orders, including amounts and recipient details, without prejudice to the best-effort measures provided for in the Cancellation and Irrevocability of Orders clause.

12.2. Liability of the company

12.2.1. The COMPANY shall provide the service with due diligence and in accordance with the regulations in force.

12.2.2. The COMPANY shall be liable to the CLIENT for direct damages caused by its fault, error or breach of its obligations under these terms and conditions, including errors attributable to it in the processing of orders. The COMPANY shall not be liable for indirect, incidental or consequential damages, such as loss of profit, loss of business opportunities or reputational harm, except in cases of wilful misconduct or gross negligence on its part. Nor shall it be liable for damages not attributable to it, such as those caused by:

  • Delays or failures in the transmission of payment orders due to problems in banking systems or payment processing entities outside the COMPANY's control.
  • Unauthorised use of the service where the CLIENT has not adequately protected its credentials.
  • Problems or limitations in the Internet network or in third-party systems outside the COMPANY's control.

12.2.3. The COMPANY is not responsible for the content, legality or legitimacy of transactions, which are the sole responsibility of the CLIENT.

12.2.4. The COMPANY shall implement information security and cybersecurity measures commensurate with the service's level of risk, to protect the confidentiality, integrity, availability and traceability of information and transactions.

13. Force majeure and acts of God

Neither party shall be liable for failure or delay in performing its obligations where this results from events of force majeure or acts of God beyond its reasonable control, such as telecommunications system failures, interruptions in technology or Internet services, failures of banks, correspondents or other financial service providers, orders of authority, natural disasters or civil unrest. The affected party shall notify the other as soon as possible and take reasonable measures to mitigate the effects.

14. Returns and rejections

Where a transaction is rejected or returned by the bank, correspondent, recipient or other intervening third parties, the COMPANY shall inform the CLIENT. Bank and third-party costs associated with the return shall be borne: (i) by the CLIENT, where the return is made at its request or arises from erroneous or incomplete information it provided; and (ii) by the COMPANY, where the return or rejection is due to causes attributable to the COMPANY. Returned funds shall be credited to the CLIENT's originating account, less any costs for its account, within a maximum of three (3) business days from the date the COMPANY actually receives the funds from the bank or correspondent.

15. Rights and obligations of the client and the company

15.1. Rights of the client

15.1.1. To receive fair treatment, without discrimination on grounds of age, gender, race, religion or cultural identity.

15.1.2. To receive reliable, comprehensive, complete, clear, understandable, timely and accessible information about the characteristics of the service.

15.1.3. To file complaints and make enquiries, petitions and requests through the appropriate channels and in accordance with the Internal Complaints Regulations.

15.1.4. To enjoy any other rights recognised by legal and regulatory provisions.

15.2. Obligations of the client

15.2.1. To use its user credentials personally and safeguard them diligently, without allowing their use by third parties, taking responsibility for all transactions carried out with them. Transactions on behalf of third parties may only be carried out in the cases and under the conditions set out in the Transactions on Behalf of Third Parties clause.

15.3. Obligations of the company

15.3.1. To deliver a receipt to the CLIENT for each transaction requested through the payment platform.

15.3.2. To handle the CLIENT's verbal or written complaints about the service, in accordance with the Internal Complaints Regulations.

16. Confidentiality and authorisation to use information

The COMPANY shall keep the CLIENT's information confidential in accordance with applicable regulations. The CLIENT expressly authorises the COMPANY to share its information and that of its transactions: (i) with banks, correspondents or other service providers, to the extent necessary to process the payment requests instructed by the CLIENT; and (ii) with the Financial Investigations Unit (Unidad de Investigaciones Financieras, UIF), the Autoridad de Supervisión del Sistema Financiero (ASFI) and other competent authorities, at their request or where regulations so require.

17. Termination

Either party may terminate the relationship at any time by notifying the other through the official channels, without prejudice to suspension or termination by the COMPANY in the cases provided for in the Term and Suspension of the Service clause. As of the termination date: (i) orders pending processing by the COMPANY shall be completed in accordance with these terms and conditions, unless legally prevented or required otherwise by a competent authority; (ii) the CLIENT shall pay the COMPANY any outstanding balances for fees, costs or other accrued items; and (iii) the COMPANY shall return to the CLIENT the balances it holds in the CLIENT's name.

18. Amendments

The COMPANY may amend these terms and conditions by notifying the CLIENT of the content of the amendment and its effective date at least thirty (30) calendar days in advance, through the registered email address and the COMPANY's official channels. If the CLIENT does not agree with the amendment, it is sufficient for the CLIENT to stop instructing transactions from the effective date, without any further formality or penalty. In that case: (i) orders instructed before the effective date shall be completed in accordance with the terms and conditions in force at the time they were instructed; and (ii) the COMPANY shall return to the CLIENT any balance held in its name, after deducting only the amounts accrued in the COMPANY's favour up to that date. The instruction of new orders by the CLIENT after the effective date of the amendment shall constitute acceptance. Amendments arising from legal provisions or requirements of a competent authority shall apply within the period they establish, without prejudice to the CLIENT's right to stop using the service under the terms of this clause.

19. Governing law, jurisdiction and notices

These terms and conditions are governed by Bolivian law and any dispute shall be submitted to the ordinary courts of Santa Cruz de la Sierra, without prejudice to the CLIENT's right to file complaints with the COMPANY and with ASFI in accordance with the regulations in force. Notices to the CLIENT shall be sent to the registered email address, and notices to the COMPANY to its domicile at Edificio Platinum II, 28th floor, office 282, Avenida Cuarto Anillo, Santa Cruz de la Sierra, or to the email address legal@rampapay.com; any change to these details shall be notified to the other party five (5) business days in advance. The COMPANY's official channels are its platform, its website www.rampapay.com and the email address soporte@rampapay.com.

20. Consent and acceptance

The CLIENT accepts these terms and conditions by accepting them during electronic registration or by entering its credentials, and undertakes to comply with them. The CLIENT's access credentials replace its handwritten signature for all legal purposes.
